Was the BRXS Properties prospectus approved by the AFM?
BRXS Properties received approval from the Dutch Authority for the Financial Markets (AFM) in December 2023 to offer multiple series of notes through an EU Growth Prospectus. That prospectus has since expired and is not being used for new offerings. While it was valid, it consisted of three components:
-
Registration Document: This provides information about the business, process, financial position, and risk factors related to BRXS Properties as an issuer.
-
Securities Note: This contains specific details about the notes being offered, the underlying property, terms and conditions, and associated risks for that particular investment opportunity.
-
Summary: This presents key information from both the registration document and securities note in a concise format.
Together, these documents constitute an “EU Growth Prospectus” in accordance with Article 15(1)(c) of Regulation (EU) 2017/1129, which allowed BRXS Properties to operate within the regulatory framework established for investment offerings in the European Union while the prospectus was valid.
